Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Notari Pty Ltd.
Cookies are small files that are placed on Your computer, mobile device or any other device by a website, containing the details of Your browsing history on that website among its many uses.
Country refers to: South Africa
Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.
Intellectual Property Rights encompasses all intellectual property rights and associated rights, such as copyrights, trademark rights, patent rights, model rights, trade name rights, database rights, and neighboring rights.
Personal Data is any information that relates to an identified or identifiable individual.
Profile refers to the individual section established and maintained by the user during Platform registration.

Study Material encompasses all study documents, summaries, notes, assignments, and other study materials provided by Students or made accessible through the Platform, including comments posted in Study Communities.
Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a page visit).
Website refers to the online environment developed and provided by Notari, facilitating global interaction among Students for the exchange of Study Materials, accessible through the websites www.notari.com, including all underlying domains, web pages, and mobile versions.
You refer to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Notari Pty Ltd. refers to a private limited company registered with the Companies and Intellectual Property Commission (CIPC).

Study Materials

Posting of Study Materials
The Platform enables Students to share Study Materials pertaining to their selected courses and universities, which can be subsequently viewed and downloaded by other users.

Profile Visibility
Your Profile will transparently indicate the Study Material you offer on the Platform. Posting Guidelines The Platform specifies the procedures for posting Study Materials, along with the permissible formats.

User Responsibility
Users comprehend and accept full responsibility for the Study Material they contribute to the Platform. Notari bears no liability for any damages arising from or related to Study Material created and shared by users within the Platform.

Automated Quality Check
Notari, while conducting an automated quality check, solely verifies the adequacy of text and/or pages in the Study Material. Notari disclaims knowledge, influence, or involvement with the Study Materials posted by Students.

Format Conversion and Modifications
Notari retains the right to convert uploaded Study Materials into another format and to automatically insert watermarks and/or advertisements.

Reporting Unlawful Material
In the event that you or a Platform visitor deem certain Study Material unlawful, you can report it to support@notari.co.za. Notari reserves the right to remove Study Materials.

Moderation and Removal
Notari reserves the right to decline or remove Study Material from the Platform, especially in response to reports or negative ratings, and may relocate the Study Material accordingly.

Deletion Option
Users can delete their Study Materials through our Support Page or on their Profile.

Applicability

Acceptance of Terms
These Terms of Use comprehensively govern the utilization of the Platform. By accessing and using the Platform, you implicitly acknowledge and agree to abide by these Terms of Use. Any other terms and conditions are expressly excluded.

Modification of Terms
Notari reserves the right to amend or supplement these Terms of Use. The latest version can be found on the Platform. In case of significant changes affecting your rights or obligations, Notari will notify you during your use of the Platform. Continued use of the Platform after amendments or supplements constitutes irrevocable acceptance of the updated Terms of Use. If you disagree with the changes, the sole recourse is to discontinue Platform usage and terminate your Profile.

Your Obligations and Use of the Platform

Utilization of Study Materials
Users are obligated to employ the Study Materials on the Platform solely as study aids and in strict adherence to principles of academic integrity.

Prohibition of Profit
Users are expressly prohibited from engaging in the resale, distribution, or any form of profit-making activity derived from the use of the Platform.

Restriction on Posting Entire (E-)Books
Posting entire (e-)books on the Platform is strictly prohibited.

Prohibited Purposes and Content
Users are forbidden from utilizing the Platform for purposes such as:

• Activities unrelated to the mission of Notari. • Presenting work as one’s own when it is not, violating copyright and constituting plagiarism and academic misconduct. • Posting content deemed discriminatory, hurtful, offensive, or inappropriate at the discretion of Notari. • Disclosing personal data of others, unless in compliance with applicable law. • Introducing software, including scrapers, spiders, viruses, Trojan horses, worms, bots, or other elements intended to damage or disable the Platform, circumvent technical protection measures of Notari, the Website, and/or Notari’s computer systems. • Infringing upon the rights of Notari and/or third parties, encompassing but not limited to intellectual property rights or privacy protection. • Transmitting unwanted or unsolicited material or content (spam). • Acting contrary to these Terms of Use or any applicable laws or regulations, engaging in unlawful activities, or activities that could compromise the interests and reputation of Notari.

Financial Obligations
Notari is not obligated to undertake any form of payment, taxation, levy, or deduction to any party arising from Study Materials or Study Questions posted by users. This includes individuals or entities whose work, model, brand, or performance is incorporated in the Study Materials or Study Questions, and extends to collective rights organizations.

Content Moderation Rights
Notari reserves the unilateral right, without prior notice, to abbreviate, modify, reject, and/or remove Study Materials, Study Questions, and/or comments by users, should such actions be deemed necessary in the opinion of Notari. This discretion is exercised without incurring any liability.

User Activity Restrictions
Notari retains the entitlement to (temporarily) limit or suspend user activities related to the Platform and/or delete user Profiles in the event of a breach of these Terms of Use, without any obligation to provide prior notice.

Platform Functionality

Platform Representation
Users acknowledge that the Platform is provided on an “as is” basis, with Notari explicitly disclaiming any guarantees, explicit or tacit, regarding quality, safety, lawfulness, integrity, or accuracy, unless expressly stated otherwise in these Terms of Use.

Platform Accessibility
Notari does not warrant uninterrupted or error-free accessibility of the Platform, disclaiming liability for any damage resulting from its (temporary) unavailability. Failures may arise from internet or phone connection issues, viruses, or defects.

Platform Outage and Maintenance
Notari retains the right to temporarily suspend or reduce Platform usage without prior notice, for reasons such as maintenance, if deemed necessary by Notari.

Platform Alterations
Notari retains the right to change, modify, or terminate the Platform at any time without incurring liability. In the event of disagreement with Notari’s changes or amendments, users may cease Platform use and delete their Profile.

Platform Functionality Changes
Users acknowledge that the functionalities of the Platform may undergo changes.

Platform Overview
Notari provides a comprehensive Platform facilitating the exchange of Study Materials, fostering communication among Students, including Study Communities. Students may contribute course names, book titles, and Studylists. Notari’s overarching mission is to empower Students to excel in their studies by delivering optimal tools for efficient learning.

Study Material Responsibility

Via the Platform, Students gain access to a vast repository of Study Materials posted by their peers. It is imperative to note that Notari assumes no liability for the Study Materials shared by Students on the Platform.

Third-Party Links
The Platform may feature links to third-party websites not under the ownership or control of Notari. In this regard, Notari disclaims any responsibility for the content, privacy policies, or practices of these third-party websites. Users are advised to exercise discretion when navigating external links on the Platform.

Intellectual Property Rights

Ownership of Intellectual Property Rights
The Intellectual Property Rights pertaining to the Platform, inclusive of those concerning the Information, are vested in Notari or its licensors. These Terms of Use do not imply any transfer of Intellectual Property Rights to users.

User Rights
Subject to the conditions outlined in these Terms of Use, Notari grants users a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable right to access and utilize the Platform, including the Information, to the extent necessary for Platform usage.

Protection of Database
The compilation of Study Materials, Information, and AI Answers amassed by Notari and exhibited on the Platform constitutes a legally safeguarded database. Notari, as the database producer, possesses the exclusive authority to grant permission for: • Extracting or re-utilizing the entirety or a significant part, quantitatively and/or qualitatively, of the database contents. • The recurrent and systematic extraction or re-utilization of non-substantial parts, quantitatively and/or qualitatively, of the database contents, provided such actions do not impede the database’s normal operation or unjustly harm Notari’s legitimate interests. Users may only request or reuse data from the database as permitted under these Terms and Conditions.

User’s Intellectual Property Rights
Users maintain all Intellectual Property Rights to their Study Material and Study Questions. By sharing Study Material and/or Study Questions via the Platform, users automatically grant Notari a free, unrestricted, global, non-exclusive, perpetual, and irrevocable license, inclusive of sublicensing rights, to utilize this content in connection with the Platform and for Platform marketing and/or promotional purposes. This license persists even after the removal of the user’s Profile or cessation of Platform usage.

Waiver of Moral Rights
Users hereby waive their moral rights to Study Material and Study Questions, to the extent applicable and feasible.

Warranty Against Third-Party Rights
Users affirm that no (Intellectual Property) Rights of third parties hinder them from making Study Material and Study Questions available through the Platform and providing the license.

Prohibition of Infringing Acts
Users are prohibited from engaging in any acts that infringe upon Notari’s Intellectual Property Rights, encompassing – but not limited to – domain name registration, trademarks, or Google Adwords resembling those held by Notari. Additionally, users are barred from reproducing, modifying, reverse engineering, or publishing the Platform, including the Information, for purposes other than those delineated in the Terms of Use.

Profile

Age Requirement
Usage of the Platform is restricted to individuals aged sixteen (16) or older. If below this age threshold, users acknowledge the necessity of obtaining consent from their legal representative(s) (guardian or parent) before creating a Profile or subscribing.

Security Responsibilities
Users bear the responsibility for maintaining the confidentiality of their registration details. In the event of unauthorized access to their username and/or password, users must promptly notify Notari. This notification does not absolve users of their obligation to take immediate and effective measures, such as password modification. Users accept and acknowledge their ongoing responsibility and liability for third-party use of the Platform via their Profile.

Data Processing
Personal data provided during the registration process will be processed in accordance with Notari’s Privacy Policy Statement.

Visibility and Anonymity
By creating a Profile, users acknowledge that their username, university, and, if provided, profile picture may be visible to other Students when posting Study Materials and/or comments. Users have the option to participate in Study Communities and post Study Materials anonymously if they so choose.

Indemnities and Warranties

User Guarantees
Users affirm their commitment to using the Platform in a manner that:

• Does not violate the rights of Notari or third parties, encompassing Intellectual Property Rights or rights related to privacy protection. • Conforms to prevailing legislation, regulations, and the provisions outlined in these Terms of Use.

Liability and Indemnification
Users assume liability and agree to indemnify Notari against any claims from third parties alleging that Study Material infringes upon Intellectual Property Rights or other rights of third parties or is otherwise unlawful. This indemnification extends to claims resulting from user actions in violation of these Terms of Use. All costs and damages incurred by Notari in connection with these claims are the responsibility of the user.

Notari’s Disclaimer
Notari does not provide guarantees regarding:

• The Platform’s suitability for a specific purpose or its alignment with user requirements. • Continuous and uninterrupted availability of the Platform. • The accuracy, currency, or completeness of Study Material, Information, and/or AI Answers on the Platform.

Liability

General Liability Disclaimer
Notari disclaims all liability for damages arising from the provision of the Platform, including damage resulting from or connected with the use of the Platform, or arising from wrongful acts, in accordance with applicable mandatory law.

Limited Liability Scope
If, notwithstanding the above, Notari is found liable, such liability is restricted to direct damages incurred by the Student due to a proven deficiency or wrongful act attributable to Notari. Direct damages encompass material damage to goods, reasonable costs to prevent or limit direct damage, and reasonable costs to ascertain the cause of the damage. Notari shall not be liable for any special, incidental, or consequential damages (“indirect damages”), including but not limited to loss and/or damage of data (including Study Material), loss of profits, and lost sales.

Exception to Liability Limitations The limitations and exclusions of liability outlined in the preceding paragraphs of this article do not apply if the damage results from intentional or willful recklessness on the part of Notari or its managers (“own actions”).

Force Majeure

Force Majeure Clause
In the event of force majeure, the non-fulfillment of the agreement between the user and Notari is not considered an attributable failure, and Notari is absolved from all contractual obligations and liability.

Force Majeure Events
Force majeure encompasses, but is not limited to, events such as illness of employees and/or absence of crucial personnel for the Platform’s provision, disruptions in the electricity supply, fire, natural disasters, strikes, floods, failures to perform by third parties engaged by Notari, disruptions in the internet connection, hardware malfunctions, disturbances in (telecommunications) networks, and other unforeseen circumstances.

Notice of Alleged Unlawful Material & Repeat Infringers

Removal of Infringing Content
Notari places paramount importance on respecting and safeguarding the (Intellectual Property) Rights of others. While Notari is not liable for damages related to the (illegal) use of the Platform by Students, it commits, as outlined in this Article, to promptly remove Study Materials, Study Questions, and/or AI Answers that are deemed infringing and/or unlawful upon receiving a precise and substantiated notification.

Reporting Alleged Infringements
Should users believe that certain Study Material or Study Questions violate their (Intellectual Property) Rights, they can report the alleged infringement to Notari through the contact form or via support@notari.com. Notari will examine the notice and take appropriate measures as required.

Notari’s Discretion
Notari retains the right to withhold a request to remove Study Materials or cease an activity if there are reasonable doubts about the accuracy of the notification or if a balancing of interests necessitates it. In such instances, Notari may require a court order from a competent court to establish the manifest unlawfulness of the material or activity.

Substantiation of Claims
Prior to removing any alleged unlawful Study Material(s), Notari may request, and the notifying party must provide, additional information confirming their status as the rightsholder. Additionally, Notari may request, and the notifying party must provide, a signed copy of an indemnification declaration for Notari.

Dispute Exclusion
Notari will not intervene in disputes arising between the reporting party and any third party concerning a notification.

Account Termination Policy
Notari maintains a policy of terminating accounts of Students who repeatedly and intentionally infringe the Intellectual Property Rights of others.

Indemnification Obligation
The notifying party indemnifies Notari against all claims of third parties related to the blocking or removal of Study Materials or cessation of activities resulting from the notification. This indemnification covers all damages and costs incurred by Notari, including legal assistance compensation.

Privacy Protection
Notari upholds the privacy of those providing notifications. Personal data received as part of a notification will only be used for processing the notice.

Notice Forwarding
Notari reserves the right to forward the notice to the Student responsible for the Study Material to which the notice refers.

Children’s Privacy

Our Service does not address anyone under the age of 16. We do not knowingly collect personally identifiable information from anyone under the age of 16. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 16 without verification of parental consent, We take steps to remove that information from Our servers.

If We need to rely on consent as a legal basis for processing Your information and Your country requires consent from a parent, We may require Your parent’s consent before We collect and use that information.

Termination

User Termination Rights

Users have the prerogative to discontinue their use of the Platform and terminate their Profile at any time.

Preservation of User Contributions Users acknowledge that any Study Materials posted and Study Questions submitted by them will, in principle, remain accessible via the Platform even after termination.

Links to Other Websites

Our Service may contain links to other websites that are not operated by Us. If You click on a third party link, You will be directed to that third party’s site. We strongly advise You to review the Privacy Policy of every site You visit.

We have no control over and assume no responsibility for the content, privacy policies or practices of any third party sites or services.

Changes to this Privacy Policy

We may update Our Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page.

We will let You know via email and/or a prominent notice on Our Service, prior to the change becoming effective and update the “Last updated” date at the top of this Privacy Policy.

You are advised to review this Privacy Policy periodically for any changes. Changes to this Privacy Policy are effective when they are posted on this page.

Miscellaneous

Governing Law
These Terms of Use and the use of the Platform are subject to and construed in accordance with the laws of South Africa.

Severability Clause
In the event that any provision of these Terms of Use is or becomes illegal, void, or invalid for any reason, such invalidity shall not affect the validity of the remaining provisions, and the rest of the Terms of Use shall continue to be enforceable.

Assignment of Rights
Notari reserves the right to assign any rights and obligations arising from these Terms of Use to third parties, with prior notification to users. In the event of disagreement with the assignment, users’ sole recourse is to cease using the Platform and delete their Profile.
